Overview
The Starknet Foundation supports the development of Starknet, a state-of-the-art layer 2 blockchain network built on top of Ethereum. Our mission is to unlock Ethereum’s scalability and efficiency, making decentralized applications more accessible and effective. We are seeking a highly motivated Senior Paralegal or Junior Lawyer to join our team. In this role, you will primarily focus on reviewing, negotiating and managing general commercial contracts and developer partnership contracts. You will assist with corporate governance and Board operations. You will also establish a legal controls framework, manage external counsel engagements and billing, and provide general legal operational support to the broader legal team.
Responsibilities

- Commercial Contracts Management: Draft, review, and negotiate a variety of commercial agreements, including software licenses, service agreements, vendor contracts, and partnership agreements. Ensure compliance with legal and regulatory requirements while mitigating risks.
- Contract Administration: Maintain accurate records of contractual agreements, amendments, and other legal documents. Develop and implement processes for contract lifecycle management, including tracking key milestones, renewals, and obligations.
- Corporate Governance: Coordinate the preparation of Board packs, assist with Board operations and manage committee governance matters.
- Legal Controls Framework: Assist in establishing and maintaining a comprehensive legal controls framework to support business operations and mitigate legal and regulatory risks.
- Engagement of External Counsel: Coordinate and assist in the engagement of external legal counsel. Manage relationships with external counsel, including fee negotiations, project management, and deliverable oversight.
- Legal Research and Analysis: Conduct legal research and analysis on various issues related to blockchain technology, cryptocurrencies, securities laws, intellectual property, and data privacy. Stay updated on legal and regulatory developments affecting the industry and provide timely insights to internal stakeholders.
- Legal Support: Provide legal and administrative support to the broader team where required.
Requirements

- Bachelor’s degree in Law.
- Minimum of 5 years of experience as a Paralegal, Legal Assistant, or Junior Lawyer with a focus on commercial contracts and legal operations.
- Prior experience working in a startup or technology company environment is a plus.
- Strong analytical, communication, and organizational skills.
- Ability to multitask, prioritize assignments, and meet deadlines in a fast-paced environment.
- Detail-oriented with a commitment to accuracy and quality.
- Ability to work independently in a remote environment with a globally-dispersed team.
