Overview

Polymath’s vision is to become the technology leader that helps bring securities to the Blockchain.  We do this by providing a tokenization platform (for direct use by businesses and integration into third-party solutions) and a security-purposed blockchain where all security tokens can reside — all powered by POLY.

Serving as an interface between financial securities and the blockchain, Polymath helps issuers overcome the complex technical and compliance challenges related to issuing regulated securities on the blockchain.

The Role:

Based out of Polymath’s Toronto office, this position is responsible for building and maintaining a corporate culture that combines the highest standards of integrity with responsive, practical approaches to furthering the work of Polymath. The successful candidate will embrace this role as a leadership opportunity and bring ideas and results to Polymath’s mission.

The VP of Operations will be responsible for a variety of business aspects to include, but not limited to, policy, compliance, ethics, employment, contracts and procurement, and corporate matters, as well as oversee the HR, Finance and IT departments. International travel will be required as necessary to support business development activities and ensure product compliance in the various regions that Polymath conducts business.

What You’ll Own:

Compliance/Legal:

  • Provide professional, consultative, proactive internal guidance on topics including: compliance, plans, strategy, legal advice & counsel, HR, IT, and Finance.

  • Identify potential areas of compliance vulnerability and risk avoidance/mitigation; develop and implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid similar situations in the future.

  • Recommend tactical and proactive corporate strategies to keep up with the current global state of the securities/financial market regarding Polymath’s obligations to Shareholders including, but not limited to, policy review and creation, communication guidelines and enforcement, employment issues, contract and procurement issue, corporate matters, commercial transactions, and mergers and acquisitions.

  • Provide legal counsel on issues arising from actual or anticipated lawsuits, and to prevent future ones.

  • Write, review, and edit reports, opinions, correspondence, contracts, and other legal documents.

  • Manage external counsel and general litigation; provide input on the decision whether to send matters to outside counsel and assist in the oversight of outside counsel as necessary.

  • Help in establishing and maintaining an effective and fully compliant internal control system with the various federal, state and local statutes and regulations.

  • Identify, analyze and report on important legislative and regulatory developments.

  • In conjunction with the CEO and senior leaders, develop and oversee an integrated risk management program, including a training program. The VP of Operations will also assist with the effective implementation, maintenance and administration of the overall compliance program.

  • Assistance with Polymath’s Marketing activities and product mandates; participate in the “peer review’ process, and ensure that all external facing presentations and marketing materials are in compliance with Legaland Ethical standards.

Operations:

  • Ensuring the smooth functionality of the Operations and Compliance department, leading Legal, Human Resources, Information Technology, and Finance.

  • Act as senior operational advisor to the CEO and leadership team, guiding strategic decisions and resource allocation.

  • Define, implement, and achieve KPIs related to productivity, quality, excellence, and client satisfaction.

  • Implement standard operating procedures to provide high quality FinTech & Blockchain products and services, and ensure Finance, HR, IT, and regulatory compliance.

  • Hire, develop, and retain players for the team as required. Hold members accountable for their deliverables. Provide mentoring and coaching to build a well-rounded team, including monitoring/reviewing annual performance reviews..

  • Assisting in the development of complete and accurate job descriptions and service contracts. Rewriting/updating as necessary.

  • Serve as chief steward and champion in the management of our information technology framework, assets, and security strategy.

Finance:

  • Lead continuous improvements to Finance policies, processes and initiatives that impact the financial performance and future direction of the company.

  • Actively participate in corporate strategy discussions, oversee capital strategy, and identify and evaluate financial risks and opportunities based on data and analysis.

  • Assist in developing the annual financial plan and operating budget each year. Monitor and drive flawless monthly reporting and interim year forecasts, as necessary.

  • Manage financial records in accordance with all legal, compliance, and contractual requirements, and respond to information/audit requests of clients, financial institutions, insurers, governmental agencies, and other entities as may be required.

  • Work with senior leadership on matters relating to compensation. Provide guidance on financial limits and industry compensation levels.

  • Responsible for all accounting, internal planning and control, financial reporting, corporate budgeting and reporting functions.

Requirements:

  • J.D. or LL.B. – Legal background/professional designation required.

  • Undergraduate degree in business, finance, economics, law or a related discipline.

  • 7-10 years years experience in Securities or in a Corporate Law capacity.

  • Experience leading on finance and operations in an executive capacity.

  • Experience working in a fast paced entrepreneurial environment.

  • Experience in the technology sector (FinTech desirable).

  • In-depth knowledge of regulatory and compliance requirements and issues in the securities industry.

Nice to Have: 

  • Understanding of blockchain technology highly favourable.

  • Canadian Securities Course (or additional securities or financial industry courses).

  • US and other foreign jurisdiction experience is beneficial.

  • Familiarity with crypto accounting.

  • Experience in public companies as well as startups.
